1. Services
Prohelika provides software development and technology consulting services, including:

- Cloud solutions and DevOps
- Digital transformation consulting
- Ongoing support and maintenance
2. Project Agreements
Specific project terms, deliverables, timelines, and pricing will be outlined in separate project agreements or statements of work. These Terms supplement but do not replace project-specific agreements.
3. Intellectual Property
Client IP
You retain ownership of your existing intellectual property.
Developed IP
Unless otherwise specified in a project agreement, You will own the custom code and applications we develop specifically for your project, excluding our proprietary tools, frameworks, and general methodologies.
Third-Party Components
Projects may include third-party libraries, frameworks, or services subject to their respective licenses.
4. Payment Terms
- Payment schedules will be specified in project agreements
- Invoices are due within 30 days of receipt
- Late payments may incur additional fees
- Work may be suspended for overdue payments
5. Confidentiality
We maintain strict confidentiality regarding your business information, project details, and any proprietary information shared with us. We expect the same regarding our proprietary methodologies and business practices.
6. Warranties and Disclaimers
Our Commitment
We warrant that our services will be performed with professional skill and care.
Limitations
Our services are provided 'as is' except as specifically warranted. We disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.
7. Limitation of Liability
Our liability for any claim related to our services is limited to the amount paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
8. Support and Maintenance
Post-project support terms include:
- Bug fixes during warranty period (typically 90 days)
- Optional ongoing maintenance agreements
- Feature enhancements subject to separate agreements
9. Termination
Either party may terminate a project agreement:
- With 30 days written notice for convenience for convenience
- Immediately for material breach
- Payment obligations survive termination
10. Dispute Resolution
Disputes will be resolved through good faith negotiation first, followed by binding arbitration, under the rules of the American Arbitration Association.
11. Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the new Terms.
